While many programs discuss the basic terms of a venture deal, few go into the real math. It takes financial engineering, here provided by VenLogic, coupled with legal expertise provide by corporate securities attorney Steve Kelley.
Watch as Steve presents the deal paths of 2 companies based on terms being done in today's environment. One scenario, SmartCo, demonstrates the optimum retirement path for a founding team.
The other scenario, SlowCo, describes how adjusting a few term sheet factors literally removes any upside potential for the founders.
The entrepreneur? challenge in the room will be to whiteboard their capital needs over time and, by applying the lessons presented, see if they can model their outcome. Sitting first person, this simulation enables entrepreneurs -
and anyone dependent on their equity (e.g. options) - to come to grips with the importance of shareholder accounting and forward looking dilution modeling based on future investors' needs.
